TERMS OF USE – InMODE INDIA

This Terms of Use constitutes a legally binding agreement between InMode India and every individual or entity accessing, browsing or interacting with any part of its digital platform. By entering, viewing or using the platform in any manner whatsoever, the User confirms that they have read, understood and voluntarily agreed to be bound by this entire Terms of Use, including all incorporated sections, conditions, limitations and legal obligations. Continued access to the platform signifies ongoing acceptance of all clauses contained herein.

This Agreement operates within the legal and regulatory framework applicable to Indian entities, including digital services law, medical device regulations, intellectual property protection mechanisms, data governance standards, corporate compliance requirements and the global policies of the InMode parent organization. Every part of the platform, including its content, visuals, technology explanations, device descriptions, clinical information, structural components and internal systems, operates within this regulatory and proprietary ecosystem. The User acknowledges that the platform may be modified, updated, enhanced or discontinued at any time without advance notice, and such changes do not diminish or alter the binding effect of these Terms. Continued usage after modifications shall constitute acceptance of the revised Terms.

The User acknowledges that minimal technical data such as device identifiers, browser metadata, access logs, session information and system-triggered security information may be processed automatically for platform safety, performance, analytics, protection of proprietary rights and compliance requirements. Use of the platform constitutes consent to such lawful processing.

The term “User” includes any individual, professional, clinic representative, student, organization, practitioner or visitor accessing the platform, whether registered or unregistered. Access alone is sufficient to bind the User to these Terms. The term “Platform” includes all websites, mobile versions, digital interfaces, servers, databases, content repositories, training modules, communication systems and associated digital infrastructure of InMode India.

SECTION 2: USER OBLIGATIONS AND CONDITIONS OF ACCESS

The User agrees that access to the platform is a conditional privilege and not a permanent entitlement. The User shall use the platform only for lawful purposes and shall not engage in any activity that disrupts, manipulates, weakens, damages or interferes with the platform’s security, integrity or normal functioning. The User shall not attempt to bypass authentication systems, test vulnerabilities, reverse engineer components, manipulate data flows, impersonate personnel or use bots, scrapers, crawlers or automation tools. Even an attempt to engage in such actions constitutes a violation.

The User must not misuse, copy, reproduce, translate, alter or distribute any content on the platform including images, videos, device descriptions, clinical illustrations or written material. Any form of content extraction, reproduction, republishing or derivative use is strictly prohibited.

The User must not upload or transmit any content that is harmful, abusive, misleading, illegal, deceptive, infringing or medically improper. The User must ensure that all information submitted to the Company is truthful, accurate and complete. Misrepresentation, forged credentials or fabricated submissions may result in immediate termination of access and possible legal action.

The User shall not use the platform to disseminate unauthorized medical guidance, speculative claims, unverified results, promotional material, unsolicited messaging or content intended to influence patient decisions without proper qualifications. Misuse of the platform for commercial exploitation, harassment, false allegations or reputational harm to the Company is prohibited.

The User must maintain confidentiality of access credentials and shall not attempt to access restricted or protected areas of the platform. Sharing credentials or unauthorized access constitutes a serious breach.

SECTION 3: DISCLAIMER

This Disclaimer forms an integral and inseparable part of the Terms of Use and applies to every User accessing or interacting with the digital platform operated by InMode India. By continuing to use the platform, the User acknowledges, understands and accepts all limitations, clarifications and legal boundaries contained herein. All content displayed, published or made available on the platform, including product descriptions, device information, clinical summaries, treatment overviews, procedural explanations, scientific material, visuals and written content, is intended solely for general informational and educational purposes. Nothing on the platform constitutes or substitutes professional medical advice, clinical diagnosis, therapeutic recommendation, treatment planning, emergency medical guidance or individualized patient-specific judgment. All medical decisions, aesthetic procedures, clinical evaluations, device operations and treatment-related actions must be undertaken exclusively by trained, licensed and qualified medical professionals exercising their independent judgment.

The User understands that use of the platform does not create any doctor–patient relationship, client–service relationship, consultation arrangement or advisory obligation of any kind. InMode India does not provide any personalized medical advice or patient-specific recommendations through the platform, nor does it offer clinical evaluation, diagnostic insight or therapeutic direction. Reliance on any information available on the platform is at the sole risk of the User, and InMode India disclaims all responsibility arising from such reliance.

All device-related content, including descriptions, specifications, technology explanations, diagrams, images, illustrations and clinical mechanisms, represents high-level informational material only. Such content is not a substitute for certified professional training, mandatory qualifications or regulatory verification. Scientific and clinical information may evolve over time, product standards may differ globally, regional approvals may vary and device configurations may be different based on Indian regulatory requirements. Before engaging in any professional activity, the User is responsible for verifying all applicable Indian regulations, certifications, compliance requirements and lawful usage parameters. InMode India does not guarantee the accuracy, completeness or suitability of such content for any clinical purpose.

Any before-after images, clinical photographs, treatment visuals or aesthetic outcomes displayed on the platform are only representative examples. Actual results vary significantly based on practitioner skill, training, technique, patient characteristics and individual biological factors. InMode India does not guarantee identical results, procedural outcomes, timelines, transformations, efficacy, safety or side-effect profiles.

The platform may contain links or references to external websites, third-party resources or independent content. InMode India does not control, endorse, monitor or guarantee the accuracy, reliability or safety of such external material. The User accesses such content entirely at their own risk, and InMode India disclaims all liability for any loss, harm or consequence arising from third-party resources.

All content on the platform, including text, images, videos, graphics, trademarks, device names, product literature, layouts and training material, is the exclusive intellectual property of InMode India and/or its global parent entity. The User is strictly prohibited from copying, downloading, reproducing, modifying, distributing, republishing, storing, extracting, translating or commercially exploiting any content without prior written authorization. Unauthorized use constitutes infringement and may result in legal action.

Although InMode India employs reasonable security measures, it does not guarantee absolute protection against cyber threats, unauthorized access, malware, interception or any other digital risk. The User is responsible for maintaining secure devices, updated systems, safe browsing practices and protection of passwords or access credentials.

No content on the platform replaces certified hands-on professional training. Only trained and authorized professionals may operate InMode devices, and improper or unqualified use can result in complications, injury or legal consequences. InMode India shall not be liable for personal injury, aesthetic dissatisfaction, financial loss, reputational harm, indirect or consequential damages, procedural complications, misinterpretation of content or professional errors. Liability is limited to the fullest extent permitted under Indian law.

By accessing the platform, the User confirms that they have read, understood and voluntarily accepted every limitation, clarification and requirement expressed in this Disclaimer. Continued use of the platform constitutes binding and ongoing acceptance of this Disclaimer in its entirety.

SECTION 4: DATA HANDLING, PROCESSING, RETENTION AND USER CONSENT

In continuation of the obligations established under these Terms, the User acknowledges that operation of the InMode India platform necessarily involves the collection, processing, storage and use of information voluntarily provided by the User as well as information automatically generated through the User’s interaction with the platform. This includes personal identifiers, contact information, professional details, enquiry submissions, browser metadata, IP addresses, device identifiers, access logs, navigation behaviour and diagnostic data essential for system integrity and compliance. By using the platform, the User provides express, informed and continuous consent for all such lawful processing activities.

The User understands that InMode India may process the collected information for purposes including maintaining platform operation, responding to enquiries, strengthening security systems, ensuring regulatory compliance, detecting anomalies, analysing aggregated usage patterns, improving service quality, preserving digital evidence and fulfilling statutory obligations. Information may be shared, where lawfully required, with corporate affiliates, authorized service providers, infrastructure partners, cloud-hosting entities, investigative authorities or regulatory bodies. All such disclosures occur strictly in accordance with Indian legal requirements, corporate confidentiality safeguards and necessary compliance mandates.

The User acknowledges that information may be retained for as long as required to fulfil legitimate business, operational, regulatory or legal purposes. Certain categories of data cannot be erased immediately if required for audits, dispute resolution, compliance verification, digital evidence preservation or statutory obligations. The User further acknowledges that although InMode India employs reasonable security measures such as encryption, monitoring systems and access controls, no digital system can guarantee absolute security. Any breach arising from the User’s negligence, insecure devices, outdated systems, weak passwords or unsafe browsing practices remains the sole responsibility of the User.

The User confirms that continued use of the platform constitutes ongoing consent to all lawful data handling activities described herein. Revocation of consent may limit the User’s ability to access or use parts of the platform, subject to the legal and operational requirements binding upon InMode India.

SECTION 5: INTELLECTUAL PROPERTY, CONTENT OWNERSHIP AND USAGE RESTRICTIONS

All intellectual property associated with the platform including textual content, scientific explanations, clinical descriptions, device specifications, training modules, images, videos, illustrations, branding elements, trademarks, service marks, interface structures, page layouts, content arrangements, proprietary processes, coding architecture and technical frameworks is the exclusive property of InMode India or its global parent organization. Access to the platform does not create, transfer or imply any ownership, license, distribution right or commercial interest in any intellectual property.

The User is granted only a limited, revocable and non-transferable right to view publicly accessible content strictly for lawful and informational purposes. The User shall not reproduce, translate, modify, adapt, extract, distribute, mirror, store, re-upload, broadcast, publish or create derivative works from any part of the platform. Any attempt to bypass technological measures protecting the content including attempts to copy, screenshot, scrape, download or capture proprietary material constitutes infringement.

Trademarked names, device identities, logos, design elements and global brand assets belonging to InMode India or its parent corporation are legally protected, and unauthorized use in any form including similarity-based misuse is strictly prohibited. Content originating from the global parent entity is protected under international intellectual property treaties and unauthorized use may attract liability across jurisdictions.

Use of platform content, including AI-generated or AI-assisted explanatory material, for training or feeding any external artificial intelligence system or machine-learning model is strictly prohibited. Any attempt to reverse-engineer, decode, imitate or replicate the proprietary digital architecture or technological components of the platform is unlawful.

InMode India retains complete authority to detect, trace and investigate any suspected infringement using watermarking technologies, metadata analysis, content-tracking systems and digital forensic tools. Any violation authorizes the Company to initiate legal action, demand removal of unauthorized content, seek damages, pursue statutory remedies and enforce protections in India and internationally.

SECTION 6: TERMINATION, ENFORCEMENT AND SURVIVAL OF OBLIGATIONS

The User acknowledges that access to the platform is a revocable privilege and may be suspended or terminated at any time at the sole discretion of InMode India without prior notice or justification. Termination may occur for any conduct that violates these Terms, threatens the platform’s security, infringes intellectual property, misuses proprietary systems, spreads misleading content, attempts unauthorized access or engages in unlawful digital behaviour. Even attempts or preparatory actions to commit such violations may result in termination.

Upon termination, InMode India may disable access credentials, block associated devices, preserve relevant digital evidence, restrict future access, notify authorities where required and initiate civil or criminal proceedings. The User remains fully liable for all actions undertaken prior to termination, and termination does not extinguish liabilities arising from wrongdoing. Certain obligations continue indefinitely after termination including confidentiality, intellectual property restrictions, admissibility of digital evidence, indemnification duties and compliance with legal requirements.

Any attempt by the User to circumvent termination by creating new identities, using proxy servers, disguising credentials or seeking unauthorized access constitutes an aggravated breach and may lead to escalated enforcement including reporting to cyber authorities and permanent blacklisting.

SECTION 7: GOVERNING LAW, JURISDICTION AND DISPUTE RESOLUTION

This Agreement and all rights, obligations and interpretations arising from it are governed exclusively by the laws of the  Union of India, irrespective of the User’s location. All disputes arising from or connected to this Agreement including those relating to interpretation, breach, enforcement, intellectual property, unauthorized access or digital misconduct fall exclusively within the jurisdiction of the competent courts in New Delhi. The User irrevocably waives objections relating to jurisdiction, geographic convenience or international location.

Before initiating litigation, the User agrees to participate in a mandatory good-faith dispute resolution process with InMode India, including review of system records and clarification of issues. Only if such efforts fail may legal proceedings be initiated. InMode India reserves the right to pursue or cooperate in legal action internationally where violations affect global intellectual property or cause transnational impact.

InMode India shall not be liable for delays or failures caused by circumstances beyond its reasonable control including natural disasters, regulatory changes, cyberattacks, system failures or other force majeure events.

SECTION 8: FINAL LEGAL CLOSURE

By using the platform, the User confirms that they have read, understood and irrevocably accepted these Terms of Use in full. These Terms constitute the complete and final agreement between InMode India and the User. Any earlier communication, representation or informal statement is superseded entirely. If any provision is deemed invalid or unenforceable, the remaining terms shall continue in full force. Obligations intended to survive termination remain in effect indefinitely. Continued access to the platform constitutes ongoing acceptance of all revised or updated Terms, and it is the User’s responsibility to review the Terms periodically.
